Lithium Auto Care Affiliate Program Terms and Conditions

Effective Date: July 21, 2026 for new Affiliates. For Affiliates enrolled before that date, these Terms become effective fourteen (14) calendar days after Lithium provides notice of them, unless the notice states a later effective date.
These Affiliate Program Terms and Conditions (the “Terms”) govern participation in the Lithium Auto Care Affiliate Program (the “Program”). The Program is operated by Lee and Jill Rowe LLC, doing business as Lithium Auto Care (“Lithium,” “we,” “us,” or “our”). The person or entity participating in the Program is referred to as the “Affiliate,” “you,” or “your.” The Lithium website is lithiumautocare.com and any successor website operated by Lithium (the “Lithium Website”). GoAffPro or any successor service used by Lithium to administer the Program is the “Affiliate Platform.”
By applying to or participating in the Program, checking a box accepting these Terms, using an affiliate link or code, or continuing to participate after the applicable effective date, you agree to these Terms. If you do not agree, you must stop participating and notify Lithium before the Terms become effective for you.
These Terms apply prospectively. Conduct and transactions occurring before these Terms became effective for an Affiliate remain subject to the agreement and policies in effect at the time.
1. Enrollment and Eligibility

You must be at least eighteen (18) years old and legally able to enter into a contract.

Your application and Affiliate Platform account information must be complete, accurate, and current. You must identify the websites, social-media accounts, email channels, applications, and other channels you intend to use to promote Lithium (collectively, “Approved Channels”).

Lithium may approve or reject an application, request additional information, suspend an application, or revoke approval in its discretion.

You may not create multiple accounts, use a false identity, impersonate another person, or conceal the identity of a person or entity controlling an account.

Participation is nonexclusive. Lithium may work with other affiliates, creators, agencies, retailers, advertising partners, or coupon partners on different terms.
2. Permitted Promotion
Subject to these Terms, Affiliates may promote Lithium products through genuine, original content on their Approved Channels, including:

original website or blog content;
-
original social-media posts, videos, livestreams, and creator content;
-
original YouTube, podcast, or other editorial content; and
-
permission-based email content sent to recipients who lawfully agreed to receive it.
Affiliate links must use the properly formatted tracking link supplied by the Affiliate Platform or otherwise approved by Lithium (“Affiliate Link”). Affiliate discount codes must be assigned or expressly approved by Lithium (“Affiliate Codes”).
Promotion must reflect a genuine product recommendation or meaningful original discussion of the product. Standalone code dumps, mass-produced discount pages, scraped content, copied merchant descriptions without meaningful original content, spam, unsolicited messages, or content designed primarily to intercept discount-seeking customers are not permitted.
3. Required Disclosures and Marketing Standards

You must clearly and conspicuously disclose your financial relationship with Lithium anywhere you endorse or recommend a Lithium product. The disclosure must appear with the endorsement and near the Affiliate Link or Affiliate Code, in language an ordinary consumer will understand, such as “I earn a commission if you purchase through my link”, “Paid affiliate link,” “#ad,” or “#affiliate.” A disclosure hidden on a profile page, behind a “more” link, or only in general terms and conditions is not sufficient.

You must comply with all applicable advertising, endorsement, privacy, email, telemarketing, consumer-protection, intellectual-property, and unfair-competition laws and platform rules, including applicable Federal Trade Commission endorsement and disclosure requirements.

Statements about Lithium products must be truthful, based on your genuine experience where personal experience is claimed, and consistent with claims Lithium can substantiate. You may not make false, misleading, unsubstantiated, medical, safety, environmental, performance, permanence, or durability claims.

You may not imply that you are Lithium, an employee or agent of Lithium, an “official” Lithium store, or exclusively endorsed by Lithium.

You may not send spam, use purchased email lists, engage in automated unsolicited messaging, or use deceptive subject lines, fake urgency, fabricated reviews, fake testimonials, or misleading before-and-after content.
4. Paid Advertising and Special Channels
4.1 Paid Advertising Is Prohibited Unless Approved in Writing
Paid advertising by an Affiliate is prohibited unless Lithium grants advance written approval for a specific campaign or channel. This prohibition includes:

Google Ads, Microsoft Ads, Bing Ads, Yahoo Ads, and other paid-search advertising;
-
pay-per-click, cost-per-click, cost-per-impression, shopping, display, retargeting, paid-social, sponsored-placement, or other paid-media campaigns;
-
advertisements that link directly to the Lithium Website or indirectly through an Affiliate-controlled page; and
-
purchasing or bidding on keywords, audiences, placements, or search terms to generate Affiliate commissions.
If Lithium grants a written exception, the written approval will state the permitted channel, campaign, commission rate, duration, and other conditions. Unless the approval expressly says otherwise, an approved paid advertiser:

may use only non-branded category or competitor keywords;
-
may not bid on or target Lithium Auto Care, Lithium Auto Elixirs, Lithium product names, Lithium domains, Affiliate Codes, coupon or discount terms associated with Lithium, or any variation or misspelling of those terms;
-
may not use Lithium names or marks in ad copy, display URLs, account names, or in a way that implies the advertisement is placed by Lithium;
-
must provide campaign, advertisement, keyword, search-term, click, and spend information within five (5) business days after Lithium requests it; and
-
must stop the campaign immediately when approval expires or Lithium revokes it.
Written approval is limited to the activity specifically described and may be revoked at any time. Past approval, non-enforcement, or awareness of an advertisement does not constitute continuing approval.
4.2 Coupon and Deal Channels
Unless Lithium provides a separate written approval, Affiliates may not post or distribute Affiliate Links, Affiliate Codes, Lithium promotion codes, or Lithium offers through:

coupon aggregators or coupon directories, including SimplyCodes and similar services;
-
cashback, loyalty, rebate, points, or rewards platforms;
-
browser extensions, shopping assistants, code-testing tools, or automatic coupon-application tools;
-
deal forums or discount communities, including Slickdeals, Reddit deal communities, or similar forums;
-
sub-affiliate networks or platforms that redistribute an Affiliate Link or Affiliate Code to other publishers; or
-
any website, application, account, or channel whose primary purpose is offering discounts, deals, coupons, rebates, or savings from multiple merchants.
A coupon or deal partner approved in writing will be subject to the commission rate, attribution rules, codes, channels, and duration stated in its separate approval. The Program’s standard 10% commission does not apply unless the written approval expressly says that it does.
4.3 Code-Reveal and Checkout Interception
The following practices are always prohibited:

“click to reveal,” partially masked codes, forced clicks, or any mechanism that sets an affiliate cookie merely to display or copy a code;
-
injecting, overwriting, replacing, or hijacking another referral cookie or attribution record;
-
automatically applying or testing codes at checkout;
-
opening hidden windows, using redirects that require no meaningful user action, cookie stuffing, adware, spyware, or similar technology; and
-
claiming credit for a customer who was already on the Lithium Website without a genuine Affiliate referral.
4.4 Genuine Social-Media Promotion
Affiliates may share their approved Affiliate Link or Affiliate Code on an Approved Channel such as Instagram, TikTok, Facebook, YouTube, or another social platform when it accompanies genuine, original product content and the required affiliate disclosure. Posting a code by itself, posting primarily to coupon-seeking audiences, or submitting the code to a deal or coupon account is prohibited.
5. Affiliate Codes and General Lithium Promotions

You may use only an Affiliate Code assigned to you or a code Lithium expressly authorizes you to promote.

General Lithium promotions and customer-acquisition codes—including codes such as WELCOME20—are not automatically Affiliate Codes. Sharing or use of a general Lithium code does not, by itself, entitle an Affiliate to a commission.

If a customer reaches the Lithium Website through a valid, compliant Affiliate Link and then uses a general Lithium promotion, the order may still qualify if it otherwise satisfies these Terms. Commission will be calculated on the discounted Net Qualifying Revenue actually received by Lithium.

You may not submit any Affiliate Code or general Lithium code to a prohibited channel, falsely claim exclusivity, misstate the discount, or suggest that a public promotion is your personal offer.

If your Affiliate Code appears on a prohibited channel, Lithium may suspend or replace the code while investigating. You must cooperate, request removal, and provide relevant information within five (5) business days. Sales originating through the prohibited channel are not Qualifying Purchases regardless of who submitted the code.
6. Qualifying Purchases and Commission Calculation
6.1 Standard Commission
Unless Lithium approves a different rate in writing, the standard commission is 10% of Net Qualifying Revenue from a Qualifying Purchase.
“Net Qualifying Revenue” means product revenue actually received and retained by Lithium after subtracting discounts, promotion codes, credits, rebates, refunds, returns, cancellations, chargebacks, disputed payments, and bad debt. Net Qualifying Revenue excludes taxes, shipping, handling, gift wrapping, gift-card purchases, and other non-product charges.
For clarity, if products with a regular price of $100 are reduced to $80 by a 20% promotion, a standard 10% Affiliate commission is $8—not $10.
6.2 Qualifying Purchase Requirements
A “Qualifying Purchase” is an order that:

is attributed by the Affiliate Platform or reasonably verified by Lithium through a compliant Affiliate Link or approved Affiliate Code;
-
originates through a permitted Approved Channel and complies with these Terms;
-
is placed within the tracking window configured by Lithium in the Affiliate Platform at the time of the referral;
-
is accepted, paid for, fulfilled, and not cancelled, refunded, returned, charged back, or identified as fraudulent; and
-
is not otherwise excluded by these Terms or a written campaign rule.
6.3 Excluded Purchases
No commission is earned on:
-
orders originating from paid advertising or a special channel that Lithium did not approve in writing;
-
orders originating from coupon aggregators, deal forums, cashback or rewards programs, browser extensions, sub-affiliate networks, or other Prohibited Distribution Channels;
-
orders attributed through cookie stuffing, forced clicks, code interception, false attribution, fraud, or other manipulation;
-
an Affiliate’s own purchases or purchases placed on the Affiliate’s behalf, including purchases for the Affiliate’s household, employees, friends, relatives, clients, or associates when the Affiliate arranged or directed the purchase primarily to earn a commission;
-
purchases for resale, wholesale, or commercial redistribution unless Lithium approved them in writing;
-
cancelled, returned, refunded, charged-back, fraudulent, unpaid, or unfulfilled orders;
-
gift-card purchases, taxes, shipping, handling, or other non-product charges;
-
orders placed after termination of the Affiliate’s account; or
-
orders that cannot be reliably attributed to the Affiliate.
The appearance of a commission in the Affiliate Platform as pending, tracked, estimated, or reported does not make it payable. A commission is earned only after Lithium validates the transaction under these Terms.
6.4 Attribution Disputes
The Affiliate Platform’s tracking data, Lithium’s website and order records, referral timing, code usage, traffic sources, and other reasonably available evidence will be used to determine attribution. Lithium may correct tracking errors, duplicate attribution, code leakage, or commissions assigned to the wrong Affiliate. Lithium will make attribution decisions reasonably and in good faith.
7. Review, Payment, Reversals, and Taxes

Lithium reviews commissions after the applicable order has been paid, fulfilled, and allowed sufficient time for returns, cancellations, fraud review, and chargebacks.

Approved commissions are generally processed monthly, approximately sixty (60) days after the end of the calendar month in which the applicable order was completed. Lithium may use a different schedule disclosed in the Affiliate Platform or in a written campaign agreement.

You must maintain accurate payment and tax information. Lithium is not responsible for delays caused by incomplete, inaccurate, expired, or unsupported payment information.

You are responsible for all taxes arising from Affiliate payments. Lithium may request a properly completed Form W-9, Form W-8, or other documentation and may withhold amounts required by law.

If a commission was paid on an order later refunded, returned, charged back, found fraudulent, or determined not to qualify, Lithium may reverse it or offset it against current or future commissions.

If you violate these Terms, commissions resulting from or reasonably connected to the prohibited conduct are void and will not be paid. Intentional fraud, cookie manipulation, false attribution, repeated violations, or deliberate concealment may result in forfeiture of all unpaid commissions to the extent permitted by law.

Questions about a commission must be submitted to Lithium within sixty (60) days after the commission first appears in the Affiliate Platform or payment report. The inquiry must identify the transaction and explain the claimed error.
8. Monitoring and Cooperation

Lithium may monitor Affiliate Links, Affiliate Codes, content, traffic sources, and publicly available promotional activity to verify compliance.

Within five (5) business days after a request, you must provide reasonable documentation showing where and how Lithium was promoted. For paid-media activity, this may include account identity, campaign settings, advertisements, keywords, search terms, placements, clicks, and spend.

You may not conceal referral sources, use misleading referrers, strip tracking information intended to verify compliance, or provide false or incomplete compliance information.
-
Lithium may pause tracking, suspend an Affiliate Code, hold related commissions, or suspend an account while investigating suspected fraud or a material violation.
9. Lithium Brand and Intellectual Property
The names, trademarks, logos, product names, trade dress, photographs, videos, copy, designs, and other brand materials used by Lithium—including Lithium Auto Care, Lithium Auto Elixirs, and the names and branding of Lithium products (collectively, the “Lithium Materials”) are owned by or licensed to Lithium or its affiliates.
During active participation, Lithium grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to use Lithium Materials supplied or expressly approved by Lithium solely to promote Lithium products in compliance with these Terms.
You may not:

alter Lithium logos, labels, packaging, or product imagery in a misleading or materially inaccurate manner;
-
register or use a domain, subdomain, social-media handle, account name, group name, application name, or business name containing Lithium Auto Care, Lithium Auto Elixirs, a Lithium product name, or a confusing variation or misspelling;
-
use Lithium Materials in paid advertising without written approval;
-
manufacture, sell, distribute, or promote counterfeit or unauthorized Lithium products;
-
represent that you own any Lithium Materials; or
-
use Lithium Materials after your participation ends or Lithium requests removal.
All goodwill arising from use of Lithium Materials belongs to the applicable owner of those materials.
10. Customers, Orders, and Data
Customers purchasing from the Lithium Website are Lithium customers. Lithium controls product pricing, promotions, order acceptance, fulfillment, returns, refunds, customer service, and website policies.
You may not collect payment for Lithium products, make commitments on Lithium’s behalf, access customer information except as lawfully provided to you, or use customer or Program data for an unauthorized purpose. Any personal information you collect independently must be handled according to applicable privacy law and your own accurate privacy notice.
11. Term and Termination

These Terms begin when Lithium accepts your application and continue until terminated.

Either you or Lithium may terminate participation at any time, with or without cause, by written notice.

Lithium may immediately suspend or terminate an account for fraud, prohibited advertising, coupon leakage, misleading promotion, legal or platform violations, abuse of the Program, reputational harm, or any other material breach.

Upon termination, you must stop using Affiliate Links, Affiliate Codes, and Lithium Materials and remove them upon request.

Valid commissions earned through compliant activity before termination will remain subject to validation, returns, chargebacks, offsets, and these Terms. Termination does not make prohibited or invalid commissions payable.

Sections that by their nature should survive termination—including payment adjustments, taxes, intellectual property, confidentiality, indemnification, limitations of liability, dispute provisions, and miscellaneous terms—will survive.
12. Changes to the Program or These Terms
Lithium may change commission rates, discount amounts, attribution settings, eligible products, campaign rules, payment procedures, or these Terms. Lithium will provide notice of a material change by posting updated terms on the Lithium Website, through the Affiliate Platform, or by email.
Unless a later date is stated, a material change becomes effective for existing Affiliates fourteen (14) calendar days after notice. Changes intended to prevent fraud, comply with law, protect customers, address security issues, or stop an abusive practice may take effect immediately. Continued participation after the effective date constitutes acceptance. If you do not agree to a change, your remedy is to stop participating before it takes effect.
13. Independent Contractor
You are an independent contractor and not an employee, agent, franchisee, joint venturer, partner, or legal representative of Lithium. You have no authority to bind Lithium or make representations, warranties, commitments, or agreements on Lithium’s behalf. You are responsible for your own expenses, equipment, personnel, insurance, licenses, and taxes.
14. Confidential Information
Nonpublic information provided by Lithium—including unreleased products, private pricing, campaign plans, customer information, sales data, commission information concerning others, access credentials, and nonpublic business information—is confidential. You may use confidential information only as necessary to participate in the Program and may not disclose it without Lithium’s written permission, except when required by law.
15. Indemnification and Limitation of Liability
You agree to defend, indemnify, and hold harmless Lithium, its affiliates, licensors, owners, officers, employees, and representatives from third-party claims, damages, liabilities, penalties, judgments, costs, and reasonable attorneys’ fees arising from your content, advertising, channels, violation of these Terms, violation of law, infringement of another party’s rights, negligence, or willful misconduct.
To the fullest extent permitted by law, Lithium will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the Program. Lithium’s aggregate liability arising from the Program will not exceed the total commissions paid or properly payable to you during the twelve (12) months immediately preceding the event giving rise to the claim.
The Affiliate Platform, tracking technology, reports, links, and Program are provided on an “as available” basis. Lithium does not guarantee uninterrupted tracking, any minimum traffic, sales, commissions, conversion rate, or duration of the Program.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
Before filing a legal claim, the complaining party must send written notice describing the dispute and requested resolution and allow the other party thirty (30) days to attempt an informal resolution. Notices to Lithium must be sent to info@lithiumautocare.com.
Unless applicable law requires otherwise, any lawsuit arising from the Program or these Terms must be brought exclusively in the state courts located in Salt Lake County, Utah, or the United States District Court for the District of Utah, and each party consents to personal jurisdiction and venue there.
17. Miscellaneous

Entire Agreement. These Terms, the commission information displayed in the Affiliate Platform, and any separate written campaign approval constitute the agreement governing the Program. A separate written approval controls only for the specific activity and period it expressly covers.

No Waiver. Failure to enforce a provision once does not waive the right to enforce it later or against another Affiliate.

Severability. If a provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective.

Assignment. You may not assign or transfer your account, rights, or obligations without Lithium’s written consent. Lithium may assign these Terms in connection with a merger, acquisition, reorganization, asset transfer, or transfer of the Lithium business.

Electronic Communications. You consent to receive Program notices electronically at the email address associated with your account. Electronic acceptance and records have the same effect as signed paper records to the extent permitted by law.

Headings. Headings are for convenience and do not limit the meaning of a provision.

Interpretation. “Including” means “including without limitation.” References to written approval mean approval issued by an authorized Lithium representative in an email, signed addendum, or other written record that clearly identifies the approved activity.
